Key terms in plain English

We sell research compounds to qualified laboratory and institutional buyers for in-vitro research only. Orders begin as a written quote, nothing is charged until you confirm, every released lot carries independent third-party analysis, and problems with an order must be reported within seven days of delivery. The sections below state these terms in full.

1. Scope and purchaser eligibility

These Terms govern access to the website and every quotation, order and supply of products by the operator (“Peplxa”, “we”, “us”). By placing an order you confirm that you are at least twenty-one (21) years of age and are acting in a professional laboratory, academic or institutional research capacity, or are an approved wholesale account. We may decline service to any buyer who cannot demonstrate eligible research use.

2. Acceptance of terms

Submitting an inquiry or confirming a quote constitutes acceptance of these Terms and of the research-use declaration. Any conflicting term on a purchase order or other buyer document is rejected unless we agree to it in writing. If any provision is held unenforceable, the remainder continues in effect.

3. Definitions and research-use status

“Products” are the research compounds and related materials listed in the catalog. “Lot record” means the independent certificate of analysis and associated chromatographic and mass-spectral analysis for a released batch. All products are supplied as Research Use Only (RUO) materials. They are not drugs, foods, cosmetics, medical devices or dietary supplements, are not sterilised for clinical use, and are not intended for human or animal consumption, therapy, diagnosis, prophylaxis or resale to end users.

4. Buyer representations and responsible use

You represent that products will be handled only by trained personnel in appropriately equipped laboratories, in compliance with all applicable laws and with the safety data and handling information supplied. You accept sole responsibility for determining the suitability of a product for your research, for proper storage and handling after delivery, and for any use beyond the stated research purpose. You must not use product names, labels or documentation in connection with any consumer, diagnostic or therapeutic offering.

5. Website and content licence

We grant a limited, revocable licence to view and use the website for legitimate sourcing and research purposes. Product descriptions, lot records, guides and other content are provided for information and may not be reproduced, republished or redistributed for commercial gain. Trademarks and laboratory names remain the property of their respective owners.

6. Quotations, pricing and taxes

Catalog prices are denominated in United States dollars and are subject to change until a quote is confirmed. A quote states the products, strengths, quantities, shipping and total at the time of issue and, unless stated otherwise, remains valid for the period shown on it. Promotional or volume pricing applies only to the qualifying order. Any sales, value-added, import or customs taxes, duties or fees are the responsibility of the purchaser.

7. Payment terms

Payment is processed through the methods stated on your invoice, which may include card payments and secure transfer options. Payment details are handled by the relevant payment provider and are not stored on this website. Orders may be held pending one-time account confirmation or, for wholesale accounts, completion of verification. Amounts incorrectly charged are corrected by refund or credit.

8. Shipping, title and risk of loss

Dispatch times, packaging, cold-chain handling, tracking and delivery estimates follow the Shipping & Returns policy. Risk of loss and title pass to the purchaser when the parcel is handed to the carrier. We assist with carrier claims for loss or damage but, to the extent permitted by law, risk during transit is governed by this hand-off point and any insurance stated on the quote.

9. Returns, replacements and cancellations

All sales are final because products are temperature-sensitive and lot-controlled. Damage, shortages or incorrect items must be reported within seven (7) calendar days of delivery, with the photographs and order reference described in the Shipping & Returns policy; confirmed issues are remedied by reshipment, credit or refund. Cancellations or changes are accepted only before dispatch.

10. Specifications, certificates and variation

Listed specifications, including purity and physical form, describe the released-lot result or the stated acceptance criterion; the controlling document for any batch is its lot record. Lyophilized material can vary in appearance between batches without affecting identity or purity. Certificates and safety documents are provided for research documentation and do not extend to material that has been repackaged, relabelled or reconstituted by the buyer.

11. Limited warranty and disclaimers

We warrant that products will, at dispatch, conform in material respects to the specifications shown on the applicable lot record and be packaged as described. Except for this express warranty, products and information are supplied “as is”. We make no representation of fitness for any particular experiment or research outcome. To the fullest extent permitted by law, we exclude liability for indirect, incidental, consequential or punitive loss, including loss of data, research results or anticipated profits, and our aggregate liability for an order is limited to the amount paid for the products concerned.

12. Anti-diversion, traceability and field actions

Products must not be diverted from the stated research use, relabelled, or introduced into any consumer supply chain. Lot numbers and records must be preserved. In the event of a recall or field action, purchasers will, on request, identify the location and disposition of affected lots and cooperate with withdrawal. Unauthorised resale is grounds for immediate termination of supply.

13. Export controls and sanctions

The purchaser is responsible for compliance with export, import and sanctions laws applicable to the destination. We do not ship to restricted or embargoed destinations, and orders that cannot lawfully be fulfilled will be declined and refunded where payment has already been taken.

14. Force majeure

We are not liable for delay or failure caused by events beyond reasonable control, including carrier disruption, customs action, severe weather, natural disaster, pandemic, labour action, supply failure or act of government. Affected dispatch times are extended for the duration of the event.

15. Governing law and disputes

These Terms are governed by the laws of the jurisdiction in which the operator is established, without regard to conflict-of-law rules. Parties will first attempt to resolve any dispute in good faith through direct communication. Statutory rights available to a purchaser as a consumer or institution are not excluded.

16. Termination and suspension

We may suspend or refuse service, cancel pending orders and close accounts where there is evidence of misuse, misrepresentation, prohibited use, diversion, or breach of these Terms, with a refund for amounts paid for products not dispatched.

17. Privacy and communications

Personal data is handled under the Privacy Policy. Order-related electronic communications, including confirmations and tracking notices, are sent to the contact details provided; marketing communications are optional and can be unsubscribed at any time.
